Terms of Service

These Terms govern access to and use of SwiftSignet's electronic-signature and document workflow services.

1. Agreement and eligibility

By creating an account, accessing the service, or using SwiftSignet, you agree to these Terms and the policies incorporated by reference. You must have authority to enter this agreement and must use the service only for lawful purposes. If you use SwiftSignet for an organization, you represent that you are authorized to bind that organization.

2. The service

SwiftSignet provides software for uploading documents, preparing fields, sending signing invitations, collecting electronic signatures, tracking workflow activity, generating audit records and managing completed documents. Features may vary by plan. Third-party services may be used to operate portions of the service.

3. Electronic signatures and records

SwiftSignet provides technology for electronic transactions; it does not determine whether a particular transaction is legally eligible for electronic signing. You are responsible for identifying required disclosures, obtaining required consent, selecting appropriate authentication, retaining records and complying with transaction-specific laws. Signers must review the transaction-specific Electronic Records & Signature Consent before signing. Some transactions are excluded from federal E-SIGN or state electronic-transactions laws, and professional legal advice should be obtained where needed.

4. Accounts and security

You must provide accurate account information, protect credentials and promptly report suspected unauthorized access. You are responsible for activity performed through your account to the extent permitted by law. We may require additional authentication or security controls for high-risk activity.

5. Customer content

You retain ownership of documents, data and other content you submit. You grant SwiftSignet only the limited rights reasonably necessary to host, transmit, display, transform, secure, back up and otherwise process that content to provide, maintain and protect the service. You represent that you have the rights and permissions necessary to submit and process the content.

6. Audit records and evidence

SwiftSignet may create records of document and signing activity, including timestamps, signer identifiers, consent events, IP address, browser information, document versions and integrity information. Audit records are intended to help establish workflow history; they are not a guarantee that a court or regulator will accept a particular transaction.

7. Plans, billing and taxes

Paid subscriptions renew according to the selected billing interval unless canceled. Pay Per Sign purchases are one-time purchases unless expressly described otherwise. Stripe or another payment provider may process payments. Taxes may apply. Billing, credits, allowances and plan limits are governed by the pricing and account information displayed at purchase. See our Refund & Cancellation Policy.

8. Acceptable use

You may not use SwiftSignet for fraud, unlawful impersonation, phishing, malware, abusive bulk messaging, unauthorized surveillance, unlawful discrimination, harassment, credential theft, attempts to defeat usage or payment controls, or activity that violates law or third-party rights. See the Acceptable Use Policy.

9. Privacy and data processing

Our Privacy Policy describes our information practices. Business customers may require a Data Processing Addendum or other written agreement. A healthcare customer must execute an appropriate Business Associate Agreement before using SwiftSignet for covered PHI where a BAA is required.

10. Intellectual property

SwiftSignet and its software, branding, interfaces and documentation are owned by SwiftSignet or its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred. Feedback may be used to improve the service without transferring ownership of your confidential content.

11. Third-party services

SwiftSignet may depend on hosting, database, email, payment, storage and other providers. Their availability may affect the service. Current material subprocessors are listed at /subprocessors.

12. Availability, changes and beta features

We work to maintain reliable service but do not promise uninterrupted availability. We may perform maintenance, modify features or discontinue features. Experimental or beta features may have additional limitations and should not be used for critical workflows without appropriate safeguards.

13. Suspension and termination

We may suspend or terminate access for material breach, nonpayment, security risk, suspected abuse, legal requirement or protection of the service and its users. Where reasonably practical, we will provide notice and an opportunity to cure. You may cancel according to the applicable plan. Termination does not erase records that must be retained for legal, security, accounting or dispute purposes.

14. Confidentiality

Each party should protect the other party's confidential information using reasonable care and use it only for the purposes of the relationship. Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law.

15. Indemnification

To the extent permitted by law, customers are responsible for claims arising from their unlawful use of the service, their content, their failure to obtain required rights or consent, or their violation of these Terms. Any SwiftSignet indemnity commitment must be expressly stated in a signed business agreement; this provision does not create an unlimited indemnity.

16. Disclaimers

SwiftSignet is provided on an as-available basis. To the fullest extent permitted by law, SwiftSignet disclaims implied warranties, including merchantability, fitness for a particular purpose and non-infringement, except to the extent a warranty cannot legally be disclaimed. SwiftSignet is not a law firm and does not provide legal, tax, medical or compliance advice.

17. Limitation of liability

To the fullest extent permitted by law, SwiftSignet and its affiliates, officers, employees and providers will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, goodwill or data, arising from use of the service. Except where prohibited by law, aggregate liability for claims arising from the service will not exceed the greater of the fees paid to SwiftSignet for the service during the twelve months preceding the event giving rise to the claim or $100. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

18. Disputes and governing law

Any dispute-resolution, arbitration, venue or class-action terms applicable to a customer should be stated clearly in the final version of these Terms or a signed business agreement and must comply with applicable law. These Terms are intended to be governed by Washington law, without regard to conflict-of-law rules, except where applicable law requires otherwise.

19. Changes to these Terms

We may update these Terms as the service or law changes. Material changes will be presented through the service or other reasonable notice. Continued use after an effective date constitutes acceptance where permitted by law. Account users may be required to re-accept material updates, and SwiftSignet records the applicable acceptance version.
